GCI Management advises Darwin AG on the acquisition of MEDICOPHARM AG

Darwin AG (ISIN DE000A3C35W0) acquired all shares of MEDICOPHARM AG Arzneimittel und Medikal Produkte, headquartered in Nußdorf am Inn, with effect as of December 31, 2024. Medicopharm is active in the manufacturing and distribution of pharmaceuticals, particularly in the field of parallel imports, and thus complements the existing portfolio of Darwin AG in this sector.

With the acquisition of the previously family-owned business, Darwin AG expands the existing competencies and structures in the area of pharmaceutical manufacturing, which had previously been consolidated in its subsidiary INOPHA GmbH, headquartered in Ludwigsfelde. Going forward, Darwin AG plans to realize synergy potential particularly in the areas of procurement and sales.

GCI Management accompanied Darwin AG as M&A advisor since the beginning of negotiations with Medicopharm and undertook in particular the financial due diligence as well as the post-merger planning. The legal advisory for the transaction was provided by the Munich-based law firm ljh Lindlbauer Rechtsanwälte.
