GCI Management advises the shareholders of Kempf Universal Cardan Shafts GmbH on the divestiture to the RINGSPANN Group
The shareholders of Kempf Universal Cardan Shafts GmbH (Kempf UCS) divested all shares to the RINGSPANN Group from Bad Homburg with effect as of September 1, 2024.
The RINGSPANN Group has been the global market leader in the field of freewheel technology for decades and is further expanding its industrial drive technology product division with great commitment through the acquisition of Kempf UCS. The new member of the group will operate under the name RINGSPANN Kempf GmbH going forward. The management of the company remains in the proven hands of Managing Director Jochen Helfrich and his authorized signatories, Chief Design Engineer Matthias Trabert and Head of Purchasing Alexander Walter. The entire workforce of 34 employees at the Gersfeld (Rhön) location will also be retained in full.
“We can well envision building a European center of competence and technology here in the future for the development, manufacturing, and provision of jaw, gear, and steel band couplings for use in the drive systems of heavy-duty applications.”
Fabian Maurer, Managing Director RINGSPANN
“In sales, however, we would soon have reached our limits, which is why we will now benefit considerably from the international reach of the RINGSPANN Group and its integration into their modern sales structures. Furthermore, RINGSPANN’s expertise in the areas of process optimization, information technology, and marketing will be a decisive factor in moving us forward.”
Jochen Helfrich, Managing Director Kempf UCS
GCI Management has supported Kempf UCS and its shareholders intensively since 2020 and undertook the coordination of the due diligence as internal project manager as part of the transaction. The legal advisory for the transaction was provided by the Munich-based law firm ljh Lindlbauer Rechtsanwälte.
